1. Joining the Program

Participation is by application or invitation and requires our written approval (email suffices). We may decline any application at our discretion. Affiliates are independent contractors — nothing here creates an employment, agency, or partnership relationship.

To participate you must be 18 or older, have the legal capacity to contract, hold a valid PayPal account, and not be located in a jurisdiction subject to US sanctions.

2. Referrals & Attribution

• A Referred Customer is a new BizyBee account that signs up using your unique promo code or referral link and was not an existing account holder.
• Attribution is last-click with a 60-day window for links; promo codes attribute regardless of click path.
• Link-based (cookie) tracking takes effect when our tracking tooling launches; until then, attribution is by promo code redemption only. We will notify affiliates when link tracking goes live.
• Once a customer is attributed to you, they remain permanently attributed to you — including if they cancel and later resubscribe — unless the referral was obtained through fraud or a violation of these Terms.
• If a Referred Customer both clicked an affiliate link and redeems a promo code, the promo code controls attribution.
• Self-referrals, referrals of your own household, and referrals of existing BizyBee users are not commissionable.

3. Commissions

• A subscription is a recurring paid BizyBee plan (monthly or annual). The Pro Lifetime plan is a one-time purchase, not a subscription.
• Commission is calculated on the net amount we actually receive, after discounts, credits, refunds, chargebacks, and any taxes we collect (e.g. sales tax/VAT). We do not deduct payment-processing fees.
• "Life of the subscription" means: as long as the Referred Customer's paid subscription remains active. Paused subscriptions and downgrades to the free plan accrue nothing while unpaid; commissions resume if paid billing resumes.
• Plan upgrades/downgrades: commission tracks whatever the customer actually pays.
• Founding Affiliate status is granted in writing to the first ten accepted affiliates and applies to all their referrals, past and future, while they remain in the program.

4. Payouts

• Paid monthly via PayPal, in USD, within 15 days after month end. PayPal receiving fees are borne by the affiliate.
• Minimum payout threshold: $25 (balances roll over).
• On departure from the program (other than for-cause forfeiture), your final balance is paid at the next payout cycle regardless of the minimum threshold.
• New commissions are held for 30 days before becoming payable, to cover the refund window.
• Clawbacks: refunds, chargebacks, credits, and fraudulent transactions are offset against your pending or future balance.
• You are responsible for maintaining accurate payment details; we are not responsible for delays or losses caused by incorrect payment information.
• Balances below the payout threshold with no program activity for 24 consecutive months may be closed after reasonable notice, and forfeited where permitted by law.
• You are solely responsible for determining and paying any taxes arising from commissions earned under this program. US-based affiliates earning $600+ in a calendar year must provide a completed W-9; we will issue a 1099. Non-US affiliates must provide the applicable IRS Form W-8 before payout.

5. Complimentary Account

On acceptance, affiliates receive a complimentary Professional plan account for genuine use and demonstration; it may not be resold or shared.

Staying eligible: the complimentary account is an active-promotion perk, not an unconditional grant. We review eligibility at 90 days after acceptance and periodically thereafter. You retain the account if, within the trailing 12 months, you have EITHER:

• published at least one piece of content promoting BizyBee (video, blog post, newsletter, social post with your link/code), OR
• at least one Referred Customer with an active paid subscription.

If neither is met, the complimentary account converts to the free Hobbyist plan (your data is retained). Program membership, attribution of your existing referrals, and earned commissions are not affected, and the complimentary account is restored when you resume active promotion.

6. Promotion Rules

You agree to:

• Disclose the affiliate relationship in accordance with FTC guidelines (and local equivalents) wherever you share your link or code.
• Represent BizyBee accurately — no fabricated earnings claims or guarantees.
• Comply with all applicable laws, regulations, advertising rules, consumer protection laws, and the policies of the platforms you promote on.

You agree NOT to:

• Bid on "BizyBee" or misspellings in paid search, or use it in ad display URLs.
• Post codes/links to coupon or deal aggregation sites.
• Use spam (email, comments, DMs) or incentivized/paid signups to generate referrals.
• Use cookie stuffing, forced redirects, browser extensions, malware, adware, or any other method that artificially generates referrals.
• Register domains or social handles containing "BizyBee."

7. Intellectual Property

• We grant affiliates a limited, non-exclusive, revocable license to use BizyBee's name, logo, and approved marketing materials solely to promote BizyBee under this agreement, terminating when you leave the program. Do not modify the logo or marks.
• All goodwill from such use belongs to BizyBee. Nothing in this agreement transfers ownership of BizyBee trademarks, copyrights, software, or other intellectual property.
• Non-public information we share with you (roadmap, launch dates, metrics) is confidential unless we designate it for public release.

8. Term, Changes & Termination

• Either party may leave the program at any time with written notice.
• If you leave voluntarily: commissions on payments received before your departure are paid out per Section 4, then all commissions end — including Founding Affiliate lifetime commissions, which do not survive voluntary departure.
• If we terminate for cause: future commissions end immediately. Commissions already earned are still paid out per Section 4, EXCEPT commissions arising from referrals connected to the violation (e.g. fraudulent, deceptive, or unlawfully obtained referrals), which are forfeited. "Cause" means: breach of these Terms; fraud, deception, or abuse of the program; violation of applicable law; infringement of intellectual property rights; false or misleading statements about BizyBee; or conduct we reasonably determine harms our reputation or customers.
• If we terminate without cause or wind down the program: you receive commissions on your Referred Customers' payments for a further 12 months (a "tail"), then the relationship ends.
• Changes: changes to commission rates, attribution rules, or Founding Affiliate benefits apply only to referrals made after the change takes effect — your existing referrals keep their economics. All other terms (payout mechanics, promotion rules, compliance requirements) may be updated with 30 days' notice and then apply to everyone.

9. General

• Indemnification: you agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your promotional activities, your breach of these Terms, or your violation of applicable law.
• We may withhold payment while investigating suspected fraud, and may request reasonable information needed to verify your compliance with these Terms.
• We process affiliate personal information (contact details, payment info, tax forms) in accordance with our Privacy Policy. Affiliates never receive Referred Customers' personal information — only aggregate statistics (signup counts, commission amounts).
• You may not assign or transfer this agreement or your affiliate account without our written consent.
• Notices under this agreement may be given by email (to us: [email protected]; to you: the email on your affiliate application).
• Neither party is liable for delays caused by events beyond its reasonable control (e.g. payment provider or infrastructure outages).
• Liability cap: our total liability under this agreement is limited to commissions owed. Neither party is liable for indirect, incidental, or consequential damages.
• Failure to enforce any provision is not a waiver of future enforcement. If any provision is held invalid, the rest remain in effect. These Terms are the entire agreement regarding the program.
• Governing law: Illinois, USA. Exclusive jurisdiction and venue lie in the state courts located in DuPage County, Illinois, and the federal courts of the Northern District of Illinois.
